A mutual agreement

When one party shares confidential information with the other, the receiving party must protect it and use it only for the purpose agreed between the parties.

What is confidential information?

“Confidential Information” includes non-public data and information exchanged between the parties in connection with their work or collaboration, including but not limited to:

  • Financial information, reports, analytics, and forecasts.
  • Computer programs, source code, and databases.
  • Information exchanged during projects or collaboration between the parties.
  • Any other information the parties mutually agree to treat as confidential.

What must the receiving party do?

When receiving confidential information from the other party, the receiving party agrees to:

  • Not disclose the information to any third party without the other party’s written consent.
  • Use the information only for the purposes agreed between the parties.
  • Take necessary measures to protect the information from leakage or unauthorized access.

When do confidentiality obligations not apply?

Confidentiality obligations do not apply to information that:

  • Becomes publicly available without fault or breach by the receiving party.
  • Must be disclosed under a legal obligation or valid court order.
  • Is lawfully obtained from a third party without breach of this agreement.

How long does the agreement last?

Five years

This agreement remains in effect for five (5) years from the date of signing, or until the owner of the confidential information publicly discloses it — whichever occurs first.

What happens if the agreement is breached?

The affected party retains its legal remedies

If this agreement is breached, the affected party may pursue available legal remedies, including financial compensation and any other remedies available under applicable law.

A mutual good-faith commitment

By engaging with Managely services under this agreement, both parties acknowledge these terms and agree to comply with them in good faith.
